The Trustee for Mount Ritchmore Trust, ABN 60 155 248 474, based in Queensland, Australia ("Two Birds Social", "we", "us", "our").

By booking a service, accepting a quote or proposal, paying an invoice, or using our website, you agree to these terms. If a signed proposal or service agreement conflicts with these terms, the signed document applies to that project.

We may update these terms from time to time. The version on our website at the date you accept a quote applies to that engagement.

Definitions
Client/you: The person or business engaging our services
Services: Any work we provide, including social media management, content creation, photography, videography, creative direction and paid advertising management
Scheduled Service: A booked shoot, session, meeting or service delivered at an agreed date and time
Proposal: A written quote, proposal or scope of work we provide, accepted by you in writing or by payment
Deliverables: The final assets we hand over, such as edited photos, videos, captions, graphics and reports
Business day: A weekday that is not a public holiday in Queensland

Our services, quotes and proposals
The scope, deliverables, timeline and price of each engagement are set out in your Proposal. Anything not listed in the Proposal is outside scope.
• Quotes are valid for 30 days from the date issued unless stated otherwise.
• Work starts once the Proposal is accepted and any deposit is paid.
• Requests outside the agreed scope will be quoted separately before we begin that work.
• Timelines depend on you supplying information, access, feedback and approvals on time. Delays on your side may shift delivery dates.

Fees and payment
All prices are in Australian dollars and exclude GST unless stated otherwise.
• Projects and shoots: The balance is due before final Deliverables are released/within 14 days of invoice.
• Late payment: we may pause work, withhold Deliverables, or suspend ad campaigns while an invoice is overdue. We may also recover reasonable costs of collecting overdue amounts.
• Final Deliverables are released once all invoices for that project are paid in full.

Bookings, cancellations and rescheduling
If you cancel a Scheduled Service less than 72 hours before its start time, a cancellation fee of 25% of that service's total fee applies. This fee covers the time, crew, equipment and other bookings we reserve for you and cannot reallocate at short notice.
72 hours or more before the start time: No cancellation fee
Less than 72 hours before the start time: 25% of the Scheduled Service's total fee
No-show, or cancelled on the day after we arrive: 50% of the Scheduled Service's total fee, plus any non-refundable costs already incurred
• Cancellations must be made in writing (email is fine) to hello@twobirdssocial.com.au. The time we receive your email is the time of cancellation.
• If you have paid a deposit, we will deduct the cancellation fee from it and refund or credit the balance.
• Third-party costs we have already paid on your behalf (for example, talent, venue hire, props or equipment hire) are non-refundable if the supplier will not refund us.
• You may reschedule free of charge with 72 hours' or more notice, subject to availability. A reschedule requested less than 72 hours before the start time is treated as a cancellation.
• If we need to cancel or reschedule, including for unsafe weather or illness, we will offer a new date at no cost or refund any amount paid for that service.
• For monthly retainers, see section 11 for notice periods.

Your responsibilities, approvals and revisions
You agree to:
• give us accurate information, brand assets and access to accounts we need to deliver the Services;
• make sure anything you give us (logos, images, music, text) is yours to use or properly licensed;
• get consent from any staff, customers or locations you ask us to photograph or film, unless we have agreed to arrange this;
• review and approve content before it is published, within the timeframe in your Proposal.
Each project includes one round of revision unless your Proposal/quote says otherwise. Further revisions, or changes to an approved brief, are charged at our standard hourly rate.
Once you approve content, or don't respond within 5 business days of our request, it is treated as approved. You are responsible for the accuracy of approved content, including any claims about your products, prices or services.

Intellectual property and usage rights
Once your invoices are paid in full, you receive a [non-exclusive, perpetual] licence to use the final Deliverables for your business's marketing, unless your Proposal sets out a different licence.
• We keep ownership of raw footage, unedited images, project files and our templates, methods and know-how. Raw files are not supplied unless agreed in your Proposal.
• Stock assets, music and fonts are used under their own licences, which may limit how and where they can be used.
• We may show Deliverables in our portfolio, website and social channels unless you ask us in writing not to.
• You must not resell the Deliverables or use them for a different business without our written consent.

Confidentiality and privacy
We keep your business information, account logins and unreleased content confidential and use them only to deliver the Services. You agree to keep our pricing, proposals and methods confidential. We handle personal information in line with our Privacy Policy and applicable Australian privacy law. When you give us access to your accounts, we only use that access for the agreed work.

Liability and Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded. Our services come with guarantees that cannot be excluded under that law.
To the extent the law allows:
• our total liability to you for any claim relating to the Services is limited to the fees you paid for the Services that gave rise to the claim, or to supplying those Services again;
• we are not liable for indirect or consequential loss, including lost profits, revenue or data;
• we are not liable for loss caused by third-party platforms, suppliers, or content you supplied or approved.
You agree to indemnify us against claims arising from material you give us to use, or from your breach of these terms.

Ending our engagement
• Monthly retainers: either party may end a retainer with 30 days' written notice, after any minimum term in your Proposal. Fees for the notice period remain payable.
• Projects: if you end a project early, you pay for work completed to that point, plus any non-refundable costs incurred. The cancellation fee in section 5 applies to any Scheduled Service cancelled less than 72 hours before its start.
• Either party may end the engagement immediately if the other seriously breaches these terms and doesn't fix the breach within 7 days of written notice.
• On ending, we will hand back access to your accounts and supply paid-for Deliverables. Sections 7, 9 and 10 continue to apply.

General
• Website use: content on our website is for general information only. You may not copy or reuse it without our permission.
• Events outside our control: we are not liable for delays caused by events beyond our reasonable control, such as severe weather, illness, natural disasters or platform outages.
• Subcontractors: we may use trusted freelancers or suppliers to deliver parts of the Services. We remain responsible for their work.
• Severability: if any part of these terms is unenforceable, the rest still applies.
• Governing law: these terms are governed by the laws of Queensland, Australia, and both parties submit to the courts of Queensland.
